YooMoney Bank Card Issuance and Service Regulations

1. General Provisions

1.1. These YooMoney Prepaid Bank Card Issuance and Service Regulations (hereinafter referred to as the "Regulations") define the terms and conditions under which a contract for the use of a specific type of YooMoney bank card (hereinafter referred to as the "Card") is concluded between an individual and YooMoney Non-Bank Credit Institution Limited Liability Company (hereinafter referred to as the "NBCO"), located at: 82, Sadovnicheskaya Street, Building 2, Moscow, holding license No. 3510-K issued by the Bank of Russia.

The YooMoney Bank Card Use Contract is a subscription contract as per Article 429.4 of the Civil Code of the Russian Federation.

1.2. The Regulations are an offer from YooMoney Non-Bank Credit Institution Limited Liability Company to individuals who have reached the age of fourteen, to make an offer to conclude a contract on the use of the YooMoney bank card.

1.3. An integral part of these Regulations shall be as follows:

1.4. These Regulations are an integral part of the Agreement on Money Transfers without Opening a Bank Account Using the YooMoney Service, which is published on the NBCO's webpage at: https://yoomoney.ru/page?id=522764 (hereinafter referred to as the "Agreement").

2. Terms and Definitions

2.1. In these Regulations, the following terms are used with the meanings given below:

Authorization means a procedure for obtaining NBCO's permission to perform a Card transaction based on the verification of authorization data and sufficiency of the Client's Payment Limit, which gives rise to NBCO's obligation to execute the Client's order submitted using the Card.

Activation means a procedure aimed at changing the Card's status, performed by the Client to enable the Card transactions.

Contactless Payment means a method of making a transaction using a Card or Card Token by bringing or touching the Card or a mobile device, on which the payment app or NBCO's Mobile App is installed (in case of making a transaction using YooMoney Pay), close to a payment terminal or ATM. The payment terminal or ATM and the mobile device must support the contactless payment technology.

Blocking means the suspension of the use of the Card, which is a prohibition to make debit transactions with the Card.

Cardholder means a person using the Card (the Client or a person authorized by the Client).

Contract means a contract between the Client and NBCO on the use of the YooMoney prepaid bank card concluded under the terms and conditions of these Regulations.

YooMoney Plastic Card is a prepaid bank card on a tangible medium with the technology enabling Contactless payment, issued by the NBCO in accordance with the payment system regulations and laws of the Russian Federation. These Regulations provide for the issuance and servicing of the following types of Cards:

  • YooCard is a personalized or non-personalized card on a tangible medium. YooCard may be issued as a standard bank card or as a Card consisting of a plastic base and a detachable sticker (Sticker);

  • Pre-issued Card is a non-personalized card on a tangible medium.

YooMoney Virtual Card is a non-personalized prepaid bank card without a tangible medium, issued in accordance with the regulations of the payment system and laws of the Russian Federation, if technically feasible.

Cobrand Card is a Card that allows the Client to participate in the Partner's Program and/or NBCO's special program under the terms and conditions set forth herein, considering the particulars provided for in the terms of the Partner's Program and/or NBCO's special program.

Card Token is a virtual representation of the Card created by the NBCO, which is stored in encrypted form and used as a synonym for the Card when making payments with it to the extent required by these Regulations.

Client is an individual who has reached fourteen years of age and has entered into an Agreement and Contract with the NBCO.

MCC Code is a four-digit number that classifies the types of activities of merchants (the recipients of payments for transactions made using a Card).

Partner is a legal entity that has entered into an agreement with the NBCO to facilitate the issuance, delivery, or servicing of the YooMoney Cards.

PIN is a digital personal identification number used to authenticate the Client when making Card transactions via ATMs and electronic terminals.

Payment System is a legal entity that provides operational services to issuers and acquirers of bank cards, including establishing rules for card payment acceptance, disputing bank card transactions, and other conditions for issuing and acquiring bank cards.
In certain instances, the regulations of the national payment card system NSPK, JSC may be applied in addition to or instead of the regulations of the Payment Systems.

Payment App is a software provided by the supplier on a technical device connected to the Internet, which allows the Client to make and transmit orders for transferring funds with the use of Cards.

Payment Clearing is an information exchange procedure between participants of the payment system to facilitate settlements for transactions conducted using bank cards.

Payment Limit is an amount of money available to the Client for conducting the Card transactions. The Payment Limit is equal to the Electronic Money balance available to the Client.

Partner's Program is a set of actions and initiatives determined by the Partner with the aim of encouraging the Client.

Parties means the NBCO and the Client.

Rates means a list of types and amounts of NBCO's remuneration for making Electronic Money transfers, other transfers without opening a bank account, issuance and servicing of the Cards and rendering other services provided for in the contracts concluded between the Client and the NBCO.

YooMoney Pay (YooPay) is a payment solution implemented in the NBCO's Mobile App for Android devices, which allows the Client to make and transmit orders for transferring funds with the use of Cards.

The NBCO's Mobile App, which offers YooMoney Pay, is not a payment application within the meaning of the provisions of Federal Law No. 161-FZ "On the National Payment System" dated 27.06.2011.

2.2. Any other terms and definitions not specified in Clause 2.1 of the Regulations shall be used as defined in the Agreement.

2.3. Card transactions may be made through the following methods: by presenting the Card, as a result of which the data recorded on the Card is read by the payment terminal or ATM (via contactless payment or by inserting the Card into the payment terminal or ATM); by entering the Card details on a payment page on the Internet. If the Regulations do not specify a method of using the Card, then any of the above-mentioned methods shall be understood as the use of the Card.

 

3. Subject of the Contract and Its Conclusion

3.1. Pursuant to the Contract concluded between the Client and the NBCO under the terms and conditions of these Regulations, the NBCO undertakes to issue and provide the Card to the Client, to service and settle Transactions made with the Card, and the Client undertakes to pay for the NBCO's services in the amount specified by the Rates.

3.2. The Agreement between the Parties shall apply to to their relations concerning the issuance and use of the Card to the extent not inconsistent with these Regulations.

3.3. By submitting an offer to the NBCO to enter into a Contract under these Regulations by any method provided in Section 3, the Client unconditionally accepts all terms and conditions of these Regulations without any exceptions or limitations, according to the contract accession rules (Article 428 of the Civil Code of the Russian Federation).

3.4. Each Party warrants to the other Party that it has the full legal capacity as well as all the necessary and sufficient rights and powers to conclude and execute the Contract in accordance with these Regulations.

3.5. The current version of these Regulations is posted on the NBCO's Website at all times and is mandatorily presented to the Client for review before they submit an offer to conclude the Contract.

 

Conclusion of a Contract for YooCard

3.6. For the purposes of entering into the Contract, the Client shall submit to the NBCO an application for issuance of YooCard:

3.6.1. Electronically, using the Wallet;

3.6.2. In a manner and under conditions specified in the regulations of issuance and servicing of cards, issued as part of marketing campaigns conducted by the NBCO, including jointly with partners.

The NBCO shall review the application for issuance of YooCard within 14 (fourteen) business days. If a positive decision is made, the NBCO proceeds with the issuance of YooCard. The method of receiving YooCard by the Client shall be determined by the submitted application.

The YooCard's design is not a material condition of the Contract. If it is not possible to issue YooCard in the design chosen at the time of submitting the application, the NBCO reserves the right to replace it with another design at its own discretion.

By submitting an application for the issuance of YooCard, the Client thereby gives the NBCO their consent to entrust the processing of their personal data to the Partner for issuance (including personalization—when applying for a personalized Card) and delivery of the Card. 3.7. The Client's offer to enter into a Contract for YooCard on the terms and conditions set forth herein as addressed to the NBCO, shall be deemed to be:

  • When applying for YooCard as stipulated in Sub-Clause 3.6.1 of these Regulations, the Client's implicative actions to submit an application for the issuance of YooCard;

  • When applying for YooCard as stipulated in Sub-Clause 3.6.2 of these Regulations, the Client's actions as specified in the regulations for issuance and servicing of the respective cards.

3.8. The NBCO's acceptance of the Client's offer and confirmation of the Contract's conclusion shall be deemed to be:

  • When applying for YooCard as stipulated in Sub-Clause 3.6.1 of these Regulations, the issuance of YooCard by the NBCO;

  • When applying for YooCard as stipulated in Sub-Clause 3.6.2 of these Regulations, the Client's actions as specified in the regulations for issuing and servicing the respective cards.

 

Conclusion of the Contract for Pre-issued Card

3.9. The Client's implicative actions aimed at receiving a Pre-issued Card at the NBCO's distribution point or by a person authorized by the NBCO shall be deemed the Client's offer to conclude the Contract on the terms and conditions set forth herein, as addressed to the NBCO.

3.10. Provision of the Pre-issued Card to the Client by the NBCO or a person authorized by the NBCO shall be deemed to be the NBCO's acceptance of the Client's offer and confirmation of the Contract's conclusion.

Conclusion of the Contract for the YooMoney Virtual Card

3.11. YooMoney Virtual Card may be issued in the following manner:

3.11.1. When the Client submits an application for the Card issuance through the Wallet interface (including the web and mobile interfaces) or via the NBCO's Mobile App.

3.11.2. In a manner and under conditions specified in the regulations for issuance and servicing of cards, issued as part of the marketing campaigns conducted by the NBCO, including jointly with partners;

3.11.3. When the Client allows the Yclients Tips mobile app (owned by YCLIENTS LLC, TIN 7708274185, OGRN 5157746100716) to send notifications to their mobile device, but not before a subsequent Wallet top-up transaction that has been recognized by the NBCO as having been made using the Yclients service. The NBCO reserves the right to issue the Card as set forth in this Sub-Clause;

3.11.4. When adding money to the Client's wallet using a bank card, if such a transaction is acquired by the NBCO, and if the Client does not have a valid Card;

3.11.5. Along with providing the Wallet to the Client.

3.11.6. Upon the Client's first Authentication in the NBCO Mobile App in the version supporting YooMoney Pay (as a result of updating, installing/reinstalling the app), provided that the Client has no other activated Mir Cards at that moment and has undergone simplified identification or authentication.

3.12. The Client's commitment to any of the actions specified in Sub-Clauses 3.11.1. — 3.11.6. of these Regulations shall be deemed to be the Client's offer to enter into a Contract with the NBCO on the terms and conditions set forth in these Regulations. The Regulations specified in Sub-Clause 3.11.2 may include conditions that supplement and/or provide for a different procedure for servicing and using the Cards than those specified herein.

3.13. Issuance of the Virtual Card shall be recognized as the NBCO's acceptance of the Client's offer and confirmation of the Contract conclusion.

 

4. Card Use Conditions

4.1. The NBCO provides the Card to the Client, unless otherwise provided for by the particulars of transactions using certain types of Cards, for transferring Electronic Money, refunding the Electronic Money balance (or part thereof) within the limits of funds previously provided by the Client and accounted by the NBCO in their favor. Transfer of funds to the Card shall result in an increase of the Client's Electronic money balance by the transferred amount.

4.1.1. Particulars of Transactions Using the Sticker:
Refunding the Electronic Money balance (or part thereof) using the Card shall be made as specified in Sub-Clause 2.3. of the Regulations, except for presenting the Card, which involves inserting the Card into a payment terminal or ATM.
Contactless Payment with the Card shall be made using a Sticker (without a plastic base).
Card details shall be displayed on the plastic base and in the Client's Wallet interface.

4.2. The types of transactions available to the Client depend on whether they have completed the identification/simplified identification procedure as per Federal Law No. 115-FZ dated August 7, 2001 "On Combating Money Laundering and Terrorism Financing", and are listed on the NBCO's Website. The types of transactions available to the Client and their parameters also depend on the restrictions established by the Client, if applicable.

4.3. The maximum amounts of the Card transactions are listed on the NBCO's Website and shall not exceed the amounts established by the laws of the Russian Federation, depending on whether the Client has completed the identification/simplified identification procedure.

4.4. The Card is issued for a specific period. The year and month when the Card expires are indicated on the Card and/or in the Wallet interface. The Card is valid until the last day of the specified month inclusive. The Client may use the Card after its expiration date at the NBCO's discretion for a period specified in the Wallet interface or in a notification.

Upon expiry of the Card's validity period, or if the Card may not be used for any reason during this period, including due to the loss of the Card by the Client, a new Card may be issued to the Client.

4.5. The PIN may be received by the Client depending on the type of the Card at its Activation or at any other time in the Wallet interface. The Client may change their PIN in the Wallet interface once per day at most. The change of PIN shall be additionally confirmed by sending a text message to the Client's phone number linked to the Client's Wallet.

4.6. The procedure for conducting transactions with the Card shall be determined by the payment system's regulations. The procedure for conducting transactions using the Card Token shall also be determined by the regulations of the payment app to which the Card has been added. The Client's Transfer Order and sufficient Authorization Data to establish the Client's authority to manage the Electronic Money in accordance with Clause 4.9 of the Agreement shall be as follows:

  • When making a transaction with presentation of the Card: a slip/check/receipt signed by the Client or correctly entered PIN, or reading by the payment terminal of the data recorded on the Card in case of Contactless payment without entering the PIN (the payment terminal settings supporting contactless payment technology may allow for Contactless Payment without entering the PIN);

  • When making a transaction using the Card details online: entering the Card details requested to the extent specified by the payment system regulations (for example: the Card number and expiry date, CVC2/CVV2/CVP2 code, 3D-Secure password);

  • When making a transaction using the Card Token in a payment app: performing implicative actions provided for by the payment app used by the Client;

  • When making a transaction via YooMoney Pay, the transaction is deemed to be made with sufficient Authorization data if the Client is successfully authenticated in the YooMoney mobile app as per the Agreement.

The provided authorization data is acknowledged by the parties as the key to the Client's basic electronic signature, the use of which entails all legal consequences upon the Agreement.

Transactions confirmed by the authorization data specified in this Clause shall be deemed to be performed by the Clients and are not subject to dispute, except for the case specified in Clause 7.3 of the Regulations.

4.7. CVC2/CVV2/CVP2 code and the Card number are displayed on the Card if it is issued on a tangible medium, and/or are provided to the Client upon request through the Wallet interface by displaying the data in the Wallet interface.

4.8. The Client shall be responsible for the use of the Card. All transactions conducted using the Card shall be deemed to be performed by the Client, and specifically if the Card and/or its details were disclosed to a third party by the Client.

4.9. Card transactions shall be made with or without prior Authorization, following the procedure established by the payment system regulations.
Settlements for transactions without prior Authorization shall be made as per the procedure specified in Sub-Clause 4.9.3 of the Regulations. For transactions without prior Authorization, procedures established in Sub-Clauses 4.9.1 and 4.9.2 of the Regulations are not followed, which cannot be a basis for disputing transactions.
Card transactions with prior Authorization shall be settled as outlined below:

4.9.1. When a Client makes a transaction using the Card, the NBCO receives a request for transaction Authorization. The NBCO shall perform Transaction Authorization only if the authorization data match and the Payment Limit is sufficient to cover the Transaction amount and the NBCO's fee as stipulated in the Rates.

4.9.2. In the event of Transaction Authorization, the NBCO reduces the Card's Payment Limit by the amount of the authorized transaction for a period determined by the payment system regulations, but not more than 30 (thirty) days. The amount of the authorized transaction shall not reduce the Electronic Money balance accounted in favor of the Client and shall be taken into account when determining the limit of such balance until Payment Clearing is carried out as per Sub-Clause 4.9.3. the Regulations. Authorized transactions for which Payment Clearing has not been performed are displayed in the Wallet interface with an hourglass symbol.

If the NBCO does not receive information about Payment Clearing in accordance with Sub-Clause 4.9.3 of the Regulations after the specified period, the amount of the authorized transaction becomes available to the Client.

4.9.3. The NBCO shall transfer or refund the Electronic Money balance (or part thereof) to the amount of the authorized transaction upon the receipt of information on Payment Clearing in accordance with the payment system regulations. The Electronic Money balance (or part thereof) may be transferred or refunded upon expiration of the period specified in Sub-Clause 4.9.2, which does not provide grounds for the Client to dispute the authorized transaction.

4.10. Regardless of the currency in which the price of goods/services purchased with the Card is denominated, the Client's available Electronic Money balance denominated in Russian roubles shall be taken into account to determine the sufficiency of the Payment Limit, and the Client's Electronic Money balance denominated in foreign currencies shall not be taken into account. Transaction settlements shall also be made by transferring the Electronic Money balance (or part thereof) accounted on the Virtual Account in Russian rubles. The cases specified in Sub-Clause 5.6.14.4 of the Agreement, as well as enabling the Multicurrency Cards Service Package in accordance with Appendix No. 7 to the Agreement shall be an exception.
For Card transactions made in foreign currency, the exchange rate of the payment system set for the following date increased by 2.9% (two point nine percent), but not less than 25 Russian rubles, shall be applied to convert the funds from the transaction currency into Russian rubles:

  • Authorization date to calculate the amount by which the Payment Limit is reduced upon Authorization of the transaction;

  • The date of transaction processing by the payment system for the purposes of Payment Clearing.

The NBCO does not influence the procedure for setting the exchange rate by payment systems.

The difference between the amount by which the Payment Limit is reduced at transaction Authorization and the Electronic Money balance transferred by the NBCO when settling an authorized transaction, which arises due to the differences in exchange rates on the date of transaction Authorization and the date of transaction processing, may not be disputed by the Client.
 
The exchange rate stipulated in the second paragraph of this Clause shall not apply if a Card transaction in foreign currency is made under all of the following conditions:

  • The Multicurrency Cards Service Package is enabled for this Card;

  • The transaction currency is a currency that the Client has activated as part of the aforementioned service package;

  • The services of the payment infrastructure for this transaction were rendered outside the National Payment Card System.

In this particular case, the exchange rate of the respective payment system is used to convert funds from the transaction currency into Russian rubles.

4.11. When the Client uses the Card, it is not allowed:

4.11.1. to store the Card/Card details in the locations accessible to third parties, or in a manner that allows copying of the Card details;

4.11.2. to share the Card's PIN with third parties, including family members, friends, NBCO's employees, to enter the PIN when making an online transaction using the Card details, or any other disclosure of the PIN;

4.11.3. to store the PIN together with the Card and/or in places accessible to third parties;

4.11.4. to use devices that require entering a PIN to access the premises where the ATM/electronic terminal is located;

4.11.5. to seek help from unauthorized individuals when conducting a Card transaction;

4.11.6. to use an ATM/electronic terminal if there are signs of its malfunctioning (e.g. being in standby mode for a long time, spontaneous rebooting, etc.);

4.11.7. to use an ATM/electronic terminal if it has additional devices that do not correspond to its design, positioned at the PIN entry area and card insertion point (for example, an unevenly installed PIN entry keyboard);

4.11.8. to use the Card to make payment transactions for goods (services, works) at a trade (service) organization, if the payment process requires the actions with the Card beyond the Client's control (line of sight);

4.11.9. to make a transaction using the Card details on the Internet via another person's personal electronic device (computer, smartphone, tablet, communicator, etc.), as well as a personal electronic device on which the licensed anti-virus software is not installed or disabled, or is not regularly updated, and to create a Card Token for a payment app installed on a mobile device that meets any of the criteria outlined in this Clause;

4.11.10. to install unlicensed software (apps) on a mobile phone or other device used to receive messages from the NBCO as part of the 3D-Secure service;

4.11.11. to share the CVC2/CVV2/CVP2 code or PIN with third parties verbally, including by phone or in a message;

4.11.12. to provide third parties with access to the Card details (including the Card number and/or expiry date and/or CVC2/CVV2/CVP2 code, and/or PIN), and one-time personal codes;

4.11.13. to share personal information about the Client and/or Card information (PIN, code word, phone number used for receiving confirmation codes, identity document details, transaction history, personal data) via the Internet.

4.12. The information interaction between the NBCO and the Client, including informing the Client by the NBCO of transactions made with the Card, shall be performed as per Section 7 of the Agreement. The NBCO shall also provide the informational support to the Clients regarding the Card use by phone: +7 (495) 250-66-99.

4.13. When contacting the NBCO support service to obtain information about the Card or for the Card Blocking, the Client may be asked for the code word created by the Client upon Card Activation or at any other time in the Wallet interface.

4.14. A Card Token may be created for any activated and unblocked Card, unless otherwise expressly provided for in the Terms and Conditions. When using a Card token, the Card service conditions, including established limits and restrictions on the Card, and participation of the Card in incentive (loyalty) programs, shall remain unchanged. Transaction fees and payment application fees as per Sub-Clause 4.14.1 shall be payable as and when stipulated by the Rates. When creating a Card Token, the NBCO may send a text message to the phone number linked to the Client's Wallet or a push notification to confirm the eligibility of the person who initiated its creation. The card token will be created only if the sent one-time password matches the one-time password entered by the Client and the time for its entry has not expired.
The Card token is created and used to make payments in the following instances:
4.14.1. When the Client adds the Card to a payment application.
The Client installs the payment app on their mobile device following the procedure established by the payment application.
The procedure for making a payment transaction using the Card Token shall be established by the terms of use of the payment application and may require entering a password/fingerprint/facial biometrics of the Client, making other implicative actions established by the terms of use of the payment application. The Card Token may be used for Contactless Payment or making payments with the mobile device on which a payment application is installed.
The NBCO does not guarantee the operation of payment applications developed or maintained by providers registered under the foreign laws on the territory of the Republic of Crimea and the federal city of Sevastopol.
The use of a particular payment application may be suspended or terminated if the provider of that application suspends or terminates its support for the NBCO's Clients accordingly.
The list of payment applications available to the Client, methods of familiarization of the Client with the terms and conditions of use of the electronic payment means as well as the use of these payment applications, including information on the restrictions of use of the payment application other than those provided for in this Sub-Clause and cases of suspension or termination of use of the payment application, are available on the NBCO's Website at: https://yoomoney.ru/page?id=526123 and are an integral part hereof.
The NBCO shall inform the Client about the opportunity to use the Card with the use of a payment application prior to such use by sending a text message to the phone number linked to the respective Wallet, as well as by means of this payment application.
The NBCO shall ensure that the Client is allowed to create at least one Card Token under Sub-Clause 4.14.1. per calendar month. The maximum number of Card Tokens to be created within a given time frame shall be determined at the NBCO's sole discretion. If this limit is surpassed, the NBCO will refuse the Client's request to create additional Card Tokens.
The ability to create and use a Card Token when adding a Virtual Card to a Payment Application is provided by the NBCO exclusively to the Clients who have undergone the simplified identification or authentication.
4.14.2. when the Client adds a Card to YooMoney Pay.
Creation of a Card Token in the NBCO's Mobile App for using YooMoney Pay is possible only for Mir Cards.
To add a Card to YooMoney Pay, the Client needs to:

  • complete Authentication in the NBCO's Mobile App in accordance with the procedure established by the Agreement;

  • proceed to "Cards", open "YooMoney Pay", select the required Card, and tap "Add";

  • reconfirm their consent and familiarization with the Terms and Conditions, including the peculiarities of making transactions using the Card Token created within YooMoney Pay;

  • wait for the tokenization to be completed.


If the Card is the only card added to YooMoney Pay, it becomes the main Card, meaning its Card Token is used to complete Contactless Payments. If multiple Cards are added to YooMoney Pay, one of the Cards should be set as the main one for making Contactless Payments.
The number of Cards added to YooMoney Pay is not limited.
The Client may delete the Card from YooMoney Pay in the settings of the corresponding Card by selecting "Unlink". The validity of the Card Token created in YooMoney Pay is terminated:
  • when the Card is deleted from YooMoney Pay,

  • when the Client deletes the NBCO's Mobile App,

  • if the NBCO receives a notification about the loss of the mobile device and/or the Card upon a request sent by the NBCO to NSPK, JSC, from the moment the latter deletes the Card Token;

  • if the Card Token was deleted by NSPK, JSC, of which the latter shall notify the NBCO.


When using YooMoney Pay, the Client is obliged to comply with the security and confidentiality requirements. In particular, the Client shall ensure the following requirements:
  • provide confidentiality, as well as storage of the mobile device in a way that excludes access to it by third parties;

  • provide an appropriate level of security on the mobile device, using passwords, technologies (e.g. fingerprint verification, facial recognition, etc.), and other possible methods of blocking/unblocking the mobile device; do not disclose the specified information to third parties;

  • make sure that no fingerprints/faces of other persons are registered on the mobile device;

  • set a PIN on the SIM card and enable PIN request in the settings of the mobile device;

  • do not expose the mobile device to operating system hacking;

  • immediately change the password and (or) disable access technologies for the mobile device (e.g. fingerprint verification, facial recognition, etc.) in case of suspicion of their compromise;

  • delete all personal data and financial information from the mobile device if you stop using it;

  • do not perform other actions that may lead to the transfer of personal data and financial information from the mobile device.


The ability to create and use a Card Token when adding a Virtual Card to YooMoney Pay is provided by the NBCO exclusively to Clients completed simplified identification or authentication.
YooMoney Pay is implemented by the NBCO using the software of NSPK, JSC. The NBCO does not guarantee the compliance of YooMoney Pay with the Client's goals and expectations, its uninterrupted operation as a whole or its individual functionalities. The NBCO shall not be liable to the Client or third parties for unavailability or termination of the Client's access to YooMoney Pay, for any type of losses resulting from the use/inability to use YooMoney Pay.
4.14.3. when the Client links the Card to pay for goods, works, services, or results of intellectual activity (when the Client provides a given acceptance in advance to make payments at the request of suppliers of goods, works, services, results of intellectual activity, or persons authorized by them).

4.15. In case of re-issue of the Card for which the Card token was created, such Token may be used when making payments as a synonym of the Card issued for a new period without additional consent or confirmation from the Client.

 

5. Rights and Obligations of the Parties

5.1. Client's Rights and Obligations:

5.1.1. The Client shall fully and promptly review the terms and conditions of these Regulations.

5.1.2. The Client who has submitted to the NBCO an application for the issuance of YooCard and its receipt by mail shall receive YooCard in person or through a representative at a post office within the storage period for the relevant category of postal items set forth in the Rules for Provision of Postal Services. The Client who has submitted to the NBCO an application for the issuance of YooCard and its delivery shall coordinate with the courier on the time and place of the delivery, and receive the YooCard at the agreed time and place. If the Client applies for YooCard and pays for additional services (such as identification, etc.), the Client shall follow the instructions on the NBCO's Website regulating the procedure for receiving these services.

Prior to using the Card, the Client shall activate it on the NBCO's Website or in a mobile app managed by the NBCO. Activation and further use of the Card is possible only if the Client's phone number is linked to the Wallet.

The Card cannot be activated if the Wallet to which the Card is issued is blocked. No more than four Pre-issued Cards, three YooCards in a single carrier form, and two Stickers may be issued and/or activated for one Wallet.

5.1.3. The Client shall ensure the safety of the Card and the confidentiality of its PIN and details.

5.1.4. During the validity period of the Card, the Client may submit a request to close the Card using the Wallet interface and to delete the Card Token created in YooMoney Pay.

5.1.5. The Client shall provide documents and information requested by the NBCO in a timely and full manner, as stipulated by these Regulations and the laws of the Russian Federation.

5.1.6. When conducting the Card transactions, the Client must adhere to the procedure for using the electronic payment methods established by the Contract and the Agreement.

5.1.7. Upon detection of loss or theft of the device with the NBCO's Mobile App installed on it, the Card, or suspicion of the disclosure of information such as PIN, Card details, or any other information that could allow transactions to be made without the Client's consent, the Client shall immediately notify the NBCO as per Clause 4.12 of these Regulations. Once such a notification is received, the NBCO will proceed with the Card Blocking.

5.1.8. If the Client discovers unauthorized use of the Card, they shall immediately, no later than the day after receiving a notification from the NBCO about the transaction, notify the NBCO in a manner specified in Clause 4.12 of these Regulations.

5.1.9. The Client shall keep all documents on Card transactions for six (6) months from the date of the transaction and submit them to the NBCO, if and when requested, to confirm the legitimacy of the Card transaction or settle disputes.

5.1.10. The Client shall repay any debt to the NBCO resulting from insufficient Electronic Money balance for fund transfers at the NBCO's request as specified in Sub-Clause 5.2.2 of these Regulations, or due to non-fulfillment or improper fulfillment of obligations towards the NBCO.

5.1.11. The Client is entitled to initiate creation, blocking and deletion of the Card Tokens, and to conduct payment transactions with them as per Clause 4.14 of the Regulations and the terms of use of payment apps.

5.2. Rights and Obligations of the NBCO:

5.2.1. The NBCO shall service the Card and process the Card transactions in accordance with the applicable laws of the Russian Federation, regulations of the Bank of Russia, NBCO's banking rules established in accordance therewith, common banking practices, and the payment system regulations.

5.2.2. The NBCO is entitled to reduce the balance of Electronic Money without any additional instructions from the Client:

5.2.2.1. By the amount of the NBCO's fee for servicing and settlement of the Card transactions, in accordance with the NBCO's Rates;

5.2.2.2. By amounts related to prevention and investigation of illegal use of the Card, as well as payment system fees charged for reviewing the Client's claim on a transaction refund;

5.2.2.3. By amounts of transactions previously credited by the NBCO to the Card based on the claims on disputed transactions and recognized as unreasonable during the investigation;

5.2.2.4. By the amount of transfer received to the Card from another payment card, the holder of which disputed the transaction, and the transfer amount was refunded to such a holder according to payment system regulations;

5.2.2.5. By the amount of the authorized Card transaction, the Payment Limit for which was reduced and later restored by the NBCO as per Sub-Clause 4.9.2 of these Regulations, if after restoration of the Payment Limit, the NBCO was notified of the Payment Clearing for such a transaction;

5.2.2.6. By any amounts specified in the Payment Clearing message, regardless of whether the NBCO authorized the transaction or not, and whether the transaction amounts specified in the Authorization request and Payment Clearing message match or not.

The provisions of this Sub-Clause shall have the effect of the Client's acceptance in advance to reduce the Electronic Money balance at the NBCO's request.

If the Client does not have sufficient Electronic Money balance in Russian rubles to fulfill the requirements specified in Sub-Clauses 5.2.2.1 — 5.2.2.6 of the Regulations, the NBCO shall purchase foreign currency from the Client in accordance with the procedure set forth in Sub-Clause 5.4.12 of the Agreement.

5.2.3. The NBCO shall consider the funds transferred to the Card as the Client's Electronic Money accounted on the Virtual Account in Russian rubles.

5.2.4. The NBCO shall inform the Client about all transactions made with the Card, following the procedure set forth in Clause 4.12 of these Regulations.

5.2.5. As provided by the Agreement, the NBCO shall provide the Client with the possibility to send notifications on the loss/compromise of the Card and use of the Card without the Client's consent.

5.2.6. The NBCO shall, in accordance with the procedure established by the Agreement and/or these Regulations, review the Client's claims for disputing Card transactions within thirty (30) days or within sixty (60) days if the Card is used for cross-border transfers from the date of receipt of the Client's written application and necessary documents.

The usual response time for claims or applications from Clients related to disputing the Card transactions shall be governed by the payment system regulations and may take up to 540 (five hundred and forty) days.

5.2.7. When issuing and servicing the Cards, the NBCO shall comply with the laws of the Russian Federation, regulations of the Bank of Russia, NBCO's internal documents, and the payment system regulations.

5.2.8. The NBCO is entitled to determine the Client's ownership of multiple Wallets as per the Agreement. The ownership of the Wallets by one Client shall be determined by the NBCO independently and shall not be disputed.

5.2.9. The NBCO reserves the right to block the Card without notifying the Client in the following instances:

5.2.9.1. If the Wallet is no longer in use;

5.2.9.2. If the Client fails to fulfill or improperly fulfills obligations under these Regulations and the Agreement, including in case of outstanding debt to the NBCO;

5.2.9.3. If the NBCO receives notifications from the Client as specified in Sub-Clauses 5.1.7, 5.1.8. of the Regulations;

5.2.9.4. If the NBCO suspects that the Card has been compromised or used without the Client's consent;

5.2.9.5. if the NBCO suspects that the Client has misused their rights while using the YooMoney Service;

5.2.9.6. If the relevant Wallet is blocked in accordance with the Agreement.

The Card Blocking shall be canceled after termination of the circumstances specified in this Sub-Clause 5.2.8 by the NBCO or by the Client upon agreement with the NBCO and in accordance with the procedure specified on the NBCO's Website/in the Client's Wallet.

5.2.10. The NBCO reserves the right to refuse the Client to conduct a Transaction using the Card in the following instances:

5.2.10.1. If the Card transaction contradicts the procedure established by the NBCO and/or the relevant payment system, or violates the laws of the Russian Federation, and specifically if the NBCO suspects that the transaction is intended for legalization (laundering) of proceeds of crime and the financing of terrorism;

5.2.10.2. If the NBCO suspects that the transaction is related to the Client's business/political activities or is made with the intention of abusing rights;

5.2.10.3. If the Client fails to provide the transaction documents requested by the NBCO in accordance with these Regulations and the laws of the Russian Federation;

5.2.10.4. If the Payment Limit is insufficient at the moment of Authorization to reimburse the amount of the transaction and the NBCO's fees provided by the Rates;

5.2.10.5. If the transaction amount exceeds the limits set by the laws or by the NBCO/Client as per Clause 4.2 of these Regulations;

5.2.10.6. in case the NBCO implements measures to prevent funds transfers without the Client's voluntary consent in accordance with Federal Law No. 161-FZ dated 27.06.2011 "On the National Payment System" in the manner provided by the Agreement.

5.2.11. The NBCO may refuse to enter into the Contract with the Client (or a person authorized by the NBCO may refuse to provide the Card to the Client). Reasons for such refusal may include, but are not limited to, the lack of Electronic Money, the Client's outstanding debt to the NBCO, or if the NBCO suspects that the Client misuses their rights while using the YooMoney Service.

5.2.12. If the NBCO suspects that the Client has violated the requirements of Sub-clauses 4.21.1 and 4.21.8 of the Agreement when using the Wallet or the Card, the NBCO may restrict certain ways of using the Card without Blocking (e.g., refuse to create a Card token, refuse to bind the Card or the Card token to third-party services, including for periodic transfers, etc.).

5.2.13. The NBCO has the right to limit the number of Cards issued to one Wallet or different Wallets of a single Client that may be serviced simultaneously.

 

6. Rates

6.1. The NBCO shall charge the Client for services provided under these Regulations, with the amount and procedure for charging determined by the Rates.

6.2. The NBCO's Rates are available on the NBCO's website. The Rates shall be changed in accordance with Clause 8.1 of the Regulations.

6.3. The Client acknowledges and agrees that when conducting similar transactions using the Card, different MCC Codes may be assigned to similar transactions due to circumstances beyond the NBCO's control, which may lead to differences in tariffing of such transactions depending on the specific MCC Codes assigned.

6.4. Subject to the provisions of the second paragraph of Clause 1.1 of these Regulations, the Card service fee shall not be refunded:

6.4.1. If the Card is not used, regardless of the reasons for non-use of the Card, except for the cases when the inability of use is due to the NBCO's fault;

6.4.2. If the Contract is repudiated, regardless of the party repudiating the Contract.

 

7. ‏Liability of the Parties

7.1. The Parties shall be liable for non-fulfillment or improper fulfillment of their obligations in accordance with the laws of the Russian Federation and these Regulations.

7.2. If the Card or device with the NBCO's Mobile App on it is lost/compromised, the Client shall be liable for all transactions made with the Card until the NBCO receives notifications from the Client as specified in Sub-Clauses 5.1.7, 5.1.8. of the Regulations.

7.3. The NBCO shall refund the Client for transactions made using the Card without the Client's consent to the extent provided in Article 9 of Federal Law No. 161-FZ dated June 27, 2011 "On National Payment System" as stipulated by the Agreement, unless the Client breaches the Card use procedure as set out in Clause 4.11 of these Regulations, and/or the Wallet use procedure established by the Agreement, resulting in transactions without the Client's consent.

7.4. The NBCO shall not be liable:

7.4.1. if any third party refuses to accept the Card for settlements and other Card transactions; if the Card is issued under a joint program implemented by the NBCO and its Partner, the NBCO shall not be liable for the Partner's actions in providing/not providing additional services to the Client;

7.4.2. for technical malfunctions (disruption/damage of power supply and communication networks, failures of the processing center software, and payment system glitches) that result in the NBCO's inability to fulfill the Contract;

7.4.3. if information about the Card transactions, Card details, or PIN becomes known to other persons due to tapping or interception of communication channels during their use;

7.4.4. if information about the Card transactions, Card details, or PIN becomes known to other persons due to the Client's violation of Clause 4.11 of these Regulations or other non-compliance with the Card use procedure;

7.4.5. for any losses incurred by the Client due to the Card Blocking, the NBCO's refusal to execute a transaction based on these Regulations, or refusal to fulfill the Contract;

7.4.6. for the Client's temporary lack of access to the communication means necessary for using the Card and interacting with the NBCO under these Regulations, as well as any related losses incurred by the Client;

7.4.7. for any disruptions in mail, Internet, or communication networks which occurred for reasons beyond the NBCO's control and resulted in untimely receipt or non-receipt of the NBCO's notifications by the Client;

7.4.8. for any losses incurred by the Client due to the use of the Card Token, including loss of the mobile device with the payment application installed, violation by the payment app or by a provider of goods/works/services/results of intellectual activity, of any requirements for encryption, storage, transfer of Card tokens, any other requirements established by law or the relevant payment system, as well as its obligations to the Client.

7.4.9. for any losses incurred due to the loss of a mobile device with the installed Mobile App.

7.5. If the Client fails to fulfill obligations specified in the first paragraph of Sub-Clause 5.1.2 of these Regulations, and such failure results in the inability of the NBCO to deliver the YooCard to the Client or provide additional services to the Client for reasons beyond the NBCO's control, the fees for issuance the YooCard and provision of additional services shall not be refunded. YooCard not delivered to the Client shall be disposed of fourteen calendar days after its return to the NBCO.

 

8. Termination and Amendment of the Contract

8.1. Amendments to the Contract shall be made by the Client's acceptance of the NBCO's respective offer. The NBCO shall send the Client an offer to amend the Contract by posting a new version of the Regulations on the NBCO's Website.

8.2. Pursuant to Clauses 2 and 3 of Article 438 of the Civil Code of the Russian Federation, if the NBCO does not receive a written notice from the Client on unilateral withdrawal from the Contract within the term specified in Clause 8.3 hereof, or if the Client makes any transactions using the Card within the specified term, the Client shall be deemed to have accepted the NBCO's offer to amend the Contract.

8.3. In case of refusal to accept NBCO's offer to change the terms and conditions of the Contract, the Client shall have the right to unilaterally withdraw from the Contract in accordance with Clause 8.4 hereof within three calendar days from the date of posting the new version of the Regulations on the NBCO's Website.

8.4. The Client may withdraw from the Contract at any time by sending a relevant notice to the NBCO as provided by the Agreement, or by submitting an application to close the Card in accordance with Sub-Clause 5.1.4 of these Regulations.

8.5. If the Client breaches the terms of use for the Card (Wallet) established by the Contract and/or the Agreement (the procedure for use of the electronic payment means), the NBCO is entitled to unilaterally withdraw from the Contract by sending a relevant notice to the Client in any way provided by the Agreement.

8.6. The use of the Card shall be stopped:

8.6.1. No later than the second business day following the day when the NBCO receives a notice from the Client of withdrawal from the Contract;

8.6.2. No later than the second business day following the day NBCO sends a notice to the Client of withdrawal from the Contract;

8.6.3. No later than the first business day after the NBCO receives the Client's request to close the Card;

8.6.4. on the date of termination of the Agreement;

8.6.5. on the Card expiry date, unless the Client has been notified to the contrary in accordance with the procedure provided for by Clause 4.4 of the Regulations;

8.7. The Contract between the Parties and the obligations arising therefrom shall be terminated one hundred and eighty (180) days after the occurrence of any of the circumstances mentioned in Clause 8.6 of the Regulations.

In the case stipulated in Clause 7.5. of the Regulations, the Contract concluded for the relevant YooCard shall be terminated on the day following the expiration date as per the Clause.

8.8. Settlements for Card transactions performed prior to the termination of the use of the Card may be made by NBCO within the timeframe set forth in Clause 8.7 of the Regulations, and can not be disputed by the Client.

 

9. Additional Terms and Conditions

9.1. The NBCO shall provide the Client with all necessary public information by posting it on the NBCO's Website.

9.2. The Parties' relations regarding Electronic Money transfers and balances, provision of funds by the Client to the NBCO, processing of the Client's personal data, handling of claims, settling disputes and disagreements in court, undergoing the identification/simplified identification procedures, and other relations not governed by these Regulations, shall be governed by the Agreement and the laws of the Russian Federation.

9.3. The time of performance of all transactions using the Card shall be Moscow time, as determined by the data of the NBCO's server processing information on transactions, unless another procedure has been agreed upon additionally.
