Agreement on Using YooMoney API
This document (hereinafter—the Agreement) constitutes an offer of Limited Liability Company Non-bank Credit Organization YooMoney (hereinafter—YooMoney) to the Developers for using the YooMoney API under the conditions specified below.
1. GENERAL PROVISIONS
1.1. It shall be assumed that the Developer has accepted all conditions of the Agreement without any reservations or exceptions from the moment they start using the YooMoney API or any functional capability of the YooMoney API. If YooMoney alters this Agreement according to the procedure established by Clause No. 6.1 herein, and the Developer disagrees with the alterations, the Developer should terminate use of the YooMoney API.
1.2. Use of YooMoney API is subject to the terms and conditions of this Agreement and to the terms and conditions of the YooMoney User Agreement.
1.3. The legislation of the Russian Federation shall be applicable to this Agreement and to the relationships between YooMoney and the Developer arising from use of YooMoney API.
2. TERMS AND DEFINITIONS USED IN THE AGREEMENT
2.1. YooMoney API—a software interface for interactions between the Developer’s mobile applications and/or the Developer’s mobile services (hereinafter collectively referred to as the services) with the YooMoney service.
2.2. Developer—a client or counterparty of YooMoney who wants to create (develop) services that interact with YooMoney service.
2.3. Client—a natural person over 14 years of age who has accepted this Agreement in accordance with all its terms and conditions.
2.4. Counterparty—legal entities and sole proprietors who have entered into the Contract on Informational and Technological Interaction When Performing Transfers by Individuals Without Opening a Bank Account for the purposes of collecting, processing, and transferring information in favor of the Counterparty.
2.5. Service Identifier—a unique identifier issued to the Developer during registration of the service in the YooMoney API.
2.6. Agreement on Making Funds Transfers Without Opening a Bank Account Using the YooMoney Service (or ‘YooMoney User Agreement)—the public offer of the Limited Liability Company Non-bank Credit Organization YooMoney addressed to natural persons 14 years and older on authorization for using the YooMoney service. A valid version of the YooMoney User Agreement is published on the NBCO YooMoney LLC’s website.
2.7. Other terms (‘YooMoney service’ and others) are used in accordance with their definitions from the YooMoney User Agreement.
3. CONDITIONS FOR USING YOOMONEY API
3.1. YooMoney authorizes the Developer to use YooMoney API for creating services that interact with the YooMoney service under the condition that this does not contradict this Agreement and the YooMoney User Agreement. The Developer shall not have the right to use YooMoney API for creating services developed with the direct or indirect purpose of inflicting harm to YooMoney, to YooMoney’s Clients, or to third parties. The Developer shall not have the right to use the YooMoney API in any manner that violates Legislation, the Agreement, the YooMoney User Agreement, and/or the rights and legitimate interests of third parties.
3.2. To begin working with YooMoney API, the Developer should register their service with YooMoney API. After registering, the Developer is assigned a Service Identifier (client_id), which is necessary for interaction with YooMoney API. Registration method:
— A Client completes registration on the YooMoney website;
— A Counterparty completes registration under their Merchant Account (a computer program, whose interface is located and/or is accessible online and is displayed using a web browser). Access to their profile is granted to the Counterparty upon entering into the Contract on Informational and Technological Interaction When Performing Transfers by Individuals Without Opening a Bank Account.
The Counterparty shall have the right to complete the registration process on the YooMoney website when YooMoney offers them such capability. The abovementioned shall not annul YooMoney’s right to forbid further access to YooMoney API at any moment or to perform other actions set out in Clause 4.4 of the Agreement, and to demand immediate re-registration under the Profile.3.3. The Developer shall undertake to immediately notify YooMoney about any security breach or any unauthorized use of the Service Identifier issued to them. YooMoney shall not be liable for any consequences caused by compromising of the Service Identifier as well as for any losses that may result from the Developer’s violation of this Agreement or from any actions by third parties, including any use of the Service Identifier unauthorized by the Developer.
3.4. The Developer agrees to the right of YooMoney to monitor all activity carried out using YooMoney API and to analyze the statistics of the Developer’s and/or the Client’s activity carried out using YooMoney API.
3.5. The Developer must notify the Clients who intend to use the service developed using YooMoney API (the ultimate users of this service) what information may be made available to the Developer in the course of the Client’s use of such service, and, if required by the relevant legislation, the Developer must obtain the Client’s consent to process such information or follow any other protocols stipulated by the legislation. The Developer bears sole responsibility before the Client for use and processing of such information.
3.6. The Developer agrees that YooMoney may alter the conditions of providing YooMoney API specified in this Agreement at any time without prior notification of the Developer and the Clients.
4. DISCLAIMER STATEMENT
4.1. YooMoney API is offered ‘as is’, without any guarantees, including but not limited to the guarantees of consistent accessibility, uninterrupted and error-free functioning, and compliance with the Developer’s and the Clients’ goals and expectations. YooMoney shall not be liable for any actions of the Developer, Clients, and/or third parties carry out in the YooMoney system using the YooMoney API.
4.2. YooMoney shall not be made to pay direct or collateral damages inflicted on the Developer, Client, or third parties as a result of using YooMoney API or the inaccessibility of YooMoney API.
4.3. Should the Developer use YooMoney API for organizing the Client’s access to the YooMoney system by virtue of the contract or other agreement between the parties, YooMoney shall not be held liable under the commitments that were undertaken by the parties of the corresponding relations.
YooMoney shall not bear the risks caused by the parties defaulting on their obligations or improperly performing such obligations or other risks related to infliction of injury on one of the mentioned parties as a result of using YooMoney API.
4.4. YooMoney shall have the right to suspend or terminate access to YooMoney API, to alter protocols and methods of access, to annul registration with the service without explaining the reason and without any liability to the Developer or to the Client.
4.5. The Developer shall be solely liable to the Client and to third parties for the Developer’s use of YooMoney API, including but not limited to complying with the law, not infringing on the rights and legitimate interests of third parties. The Developer shall, at their own discretion and expense, undertake to settle all disputes by third parties relating to the Developer’s use of YooMoney API.
5. INDIVIDUALIZATION
5.1. The Developer is not authorized to use the trade marks and firm names of YooMoney or third parties. The Developer may not distribute the result of their development using the means of individualization described hereto.
5.2. By using YooMoney API, the Developer authorizes YooMoney to use the Developer’s logo, trade mark and/or service for informational, advertising, and marketing purposes in connection with the YooMoney service as a whole and/or YooMoney API, particularly but not exceptionally, without receiving additional consent from the Developer and without paying any manner of remuneration for such use.
6. CONCLUDING PROVISIONS
6.1. YooMoney has the right to alter or terminate this Agreement at its sole discretion without notifying the Developer. The Developer bears the risk of not being aware of a new version of the Agreement. By continuing to use YooMoney API after it has been altered, the Developer is giving its consent to the new version of the Agreement. This current version of the Agreement is published on the YooMoney website.
6.2. The Developer is not authorized to transfer their rights and/or obligations to third parties without YooMoney’s written consent.
